Quotations are valid for 30 days from the date of quotation.
40% deposit with order before work starts.
50% payment after factory acceptance test prior to despatch.
These products are as agreed at the time of quotation. Any other trials will be subject to additional costs.
10% final balance required 30 days after delivery or request to deliver.
All prices are quoted as EXW Seller’s Premises. Delivery costs will be charged to the customer’s account.
EXW (Ex Works) means that the seller delivers when it places the goods at the disposal of the buyer at the seller’s premises or at another named place (i.e. works, factory, warehouse, etc.). The seller does not need to load the goods or clear them for export.
All terms expressed or implied relating to the quality of goods are warranties only, breach of which gives no right to reject the goods or terminate the contract in any circumstances whatsoever.
Notwithstanding delivery and the passing of risk in the goods, or any provision of these conditions, the goods shall remain the sole and absolute property of Unison Ltd as legal and equitable owner until Unison Ltd has received in cash or cleared funds payment in full of all amounts owing to Unison Ltd by the buyer on any accounts whatsoever.
Unison Ltd may maintain an action for the price of the goods notwithstanding that Unison Ltd retains ownership of them.
Upon final payment, Unison will issue the software licence for the use of the software purchased with the machine. The licence is for use with that machine only, unless otherwise stated as part of the contract.
In the event of payment being overdue in whole or in part, or any act or proceeding involving the buyer’s solvency being taken, the buyer’s right to use or sell the goods shall cease.
Unison Ltd may, without prejudice to any other rights it may have, enter upon the premises of the buyer to recover any goods yet unpaid.
Until any of the events referred to above occur, the buyer shall keep the goods separate, identifiable as the property of Unison Ltd, and properly stored, protected and insured until the total amount of indebtedness to Unison Ltd has been discharged.
Any provision herein which would, by virtue of the Unfair Contract Terms Act 1977, be of no effect against a person dealing as a consumer shall not apply to such sales.
If any part of these conditions is found by any court or other competent authority to be invalid, unlawful or unenforceable, that part shall be severed from the remainder of these conditions, which shall remain valid and enforceable to the fullest extent permitted by law.
In no event shall Unison Ltd or its suppliers be liable for any special, incidental or consequential damages or losses whatsoever arising out of the use, or inability to use, this product, even if Unison Ltd has been advised of the possibility of such damages.
Any costs incurred before cancellation will be deducted from the deposit already paid. If the costs incurred exceed the deposit paid, Unison Ltd shall be compensated for the additional costs.
All prices are subject to VAT and duties at the applicable rate at the time of invoice.
Delivery times will be confirmed at the time of ordering. Manufacture will not commence until Unison Ltd receives both the deposit payment and a signed copy of these Terms and Conditions.
Confirmation that the machine meets the specification agreed at the time of order will be subject to trials and customer approval at our works prior to dispatch.
Tooling and materials are to be supplied by the customer unless otherwise stated in the contract.
Acceptance trials are allocated two full working days. Any additional trial periods may be subject to additional costs.
Full training will be given in the use of the machine and its software following acceptance trials at our works.
A Unison engineer will spend one full day on site providing these instructions.
Unison Ltd warrants all parts supplied for 12 months or 1,800 hours of use, whichever occurs first.
This warranty provides, at Unison Ltd’s option, free replacement or repair of components causing loss of function due to defects in workmanship.
The warranty does not cover loss of function caused by:
Normal wear and tear
Electrical surges
Strong magnetic fields
Improper use
Physical damage (including falling, dropping, hammering, hitting or collisions)
Unison Ltd alone retains the right to determine the extent of warranty liability and the appropriate remedy.
Unison Ltd shall not be responsible for delays or suspension of deliveries caused by strikes, lockouts, war, fire, breakdown of plant or machinery, or any cause beyond its control.
In no circumstances whatsoever shall Unison Ltd’s liability (in contract, tort or otherwise) exceed the invoice price of the goods concerned.
All liability for indirect or consequential loss, howsoever arising, is expressly excluded.
All crates, pallets and other packing materials are charged extra.
Where these Terms and Conditions conflict with any terms stipulated by the buyer, such terms shall be deemed ineffective to the extent of the inconsistency.
Unison Ltd recommends that the machine is sited in a controlled area to prevent access by unauthorised personnel and that all local health and safety regulations are adhered to.
The machine must only be operated in accordance with the guidelines set out in the machine manual.
Acceptance of our quotation and placement of an order subjects the customer to these Terms and Conditions.

Prices quoted are for supply only. On-site trials and engineer’s time will be chargeable.
Minimum order £100 / $150 or £40 / $60 admin fee to be applied, whichever is more preferable to the customer.
Unless stated otherwise, all prices are quoted as Incoterms FCA.
